UTOS to facilitate Registration for Samoa Airways Shareholding Initiative

Apia, SAMOA – 11 February 2026 – The Unit Trust of Samoa (UTOS) has been formally identified and approved by Cabinet as the vehicle to facilitate registrations for Samoan nationals interested in becoming shareholders in the national airline currently trading as Samoa Airways.

This initiative provides an opportunity for eligible Samoans to participate in the future ownership of Samoa Airways through a structured and transparent process administered by UTOS.

How the Investment Will Work
UTOS is now accepting registrations from eligible investors who wish to participate in the Samoa Airways shareholding initiative. Interested individuals are required to open a standard UTOS account. UTOS will maintain a dedicated register to record all funds received specifically for this purpose.

Once Samoa Airways is ready to issue its shares, all registered funds will be transferred into a Samoa Airways–specific investment product established solely to hold shares in the national airline. The minimum investment amount for participation is SAT$500.00

Treatment of Funds During the Interim Period
While Samoa Airways completes the necessary arrangements for issuing shares, all registered funds will be invested in UTOS’ standard investment product. This ensures that investors’ funds remain active and have the potential to earn returns during the interim period.

Upon issuance of shares, investments will transition into the airline-specific investment product, and shares will be acquired through UTOS on behalf of investors. From that point forward, returns will be derived solely from the performance and operations of Samoa Airways.

Funds invested for the airline shareholding initiative will not be available for withdrawal during this period. Withdrawals will only be permitted once UTOS formally advises, following the establishment of the airline-specific investment product and acquisition of shares.

Eligibility Criteria
